These Terms of Service ("Terms") govern your access to and use of PrepWork, including the website located at PrepWorkReports.com and related services, applications, software, and content (collectively, the "Service"), operated by Silverback Squared Creative ("PrepWork," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
PrepWork is an AI-powered business intelligence and sales preparation platform that generates research reports, summaries, and related outputs ("Reports") using publicly available information and artificial intelligence technologies. Reports are intended to assist users with business research, meeting preparation, outreach, and workflow efficiency. Reports are provided for informational purposes only and should not be considered professional, legal, financial, investment, employment, compliance, or other regulated advice.
You must be at least 18 years old and capable of entering into legally binding agreements to use the Service. To access certain features, you must create an account. You agree to provide accurate account information, maintain the confidentiality of your credentials, be responsible for all activities under your account, and notify us promptly of unauthorized access or security breaches. We reserve the right to suspend or terminate accounts that violate these Terms or create risk to the Service or other users.
PrepWork operates using subscription plans and/or credit-based usage. Credits may be purchased individually or included as part of a subscription plan and are consumed when generating Reports or using designated platform features.
Subscription Billing: Subscriptions automatically renew on a recurring basis unless cancelled before the next billing cycle. By purchasing a subscription or credits, you authorize us and our payment processor, Stripe, to charge your selected payment method.
Credit Accumulation: Unused subscription credits may accumulate over time; however, we reserve the right to impose reasonable caps, expiration periods, or usage limitations on accumulated credits, including a maximum accumulation threshold per account.
Pricing Changes: We reserve the right to modify pricing, plans, credit structures, or feature availability at any time. Material pricing changes will take effect prospectively.
You agree to use the Service only for lawful and authorized business purposes. You may not:

PrepWork utilizes artificial intelligence systems and third-party AI providers to generate Reports and related outputs. AI-generated content may contain inaccuracies, omissions, outdated information, hallucinations, incorrect assumptions, or incomplete analysis. You acknowledge and agree that Reports are informational tools only, you are solely responsible for verifying information before relying upon it, PrepWork does not guarantee accuracy or completeness, and Reports should not be used as the sole basis for legal, financial, hiring, investment, or strategic decisions. Use of the Service is at your own risk.
The PrepWork platform, software, interface, workflows, prompts, branding, logos, design elements, systems, and underlying technology are owned by Silverback Squared Creative and protected by intellectual property laws.
Subject to these Terms, users retain ownership of content they submit to the Service. Reports generated for users may be used internally for the user's lawful business purposes. For the avoidance of doubt, using Reports in your ordinary business activities — including sales outreach, meeting preparation, CRM entry, and internal research — is expressly permitted. Users may not resell, republish, distribute, or commercialize Reports as a standalone product, dataset, or competing service. Except as expressly permitted, no portion of the Service may be copied, modified, distributed, or exploited without prior written permission.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
PrepWork relies on third-party providers including Anthropic, Stripe, and Google Firebase. We are not responsible for interruptions, failures, data loss, or issues caused by third-party services outside our reasonable control.
Except where required by applicable law, all purchases, subscription fees, and credit purchases are final and non-refundable. We reserve the right, but not the obligation, to issue credits, refunds, or account adjustments in exceptional situations at our sole discretion.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT REPORTS WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL ALWAYS BE AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILVERBACK SQUARED CREATIVE, ITS OWNERS, AFFILIATES, EMPLOYEES, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS, OR DATA, ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO PREPWORK DURING THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM OR $100 USD.
You agree to defend, indemnify, and hold harmless Silverback Squared Creative and its affiliates, officers, employees, contractors, and partners from claims, damages, liabilities, losses, and expenses arising from your use of the Service, your violation of these Terms, your misuse of Reports or generated content, or your violation of applicable law or third-party rights.
We reserve the right to suspend, restrict, or terminate access to the Service at any time for violations of these Terms, abuse or misuse, security concerns, non-payment, or activities that create legal or operational risk. Upon termination, access to the Service may immediately cease, unused credits may be forfeited, and certain provisions of these Terms will survive termination.
We reserve the right to modify, suspend, discontinue, or update any aspect of the Service at any time without liability. Features, pricing, AI providers, integrations, or functionality may change over time.
We may update these Terms periodically. If material changes are made, we may provide notice through the Service, via email, or by updating the "Last Updated" date. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Rhode Island, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Rhode Island, and you consent to the jurisdiction of such courts.
